End user licence agreement & terms of service

These Terms of Service (“Terms”) govern your access to and use of the Operational CFO platform, including the websites operationalcfo.ai and cfoos.ai, and all related tools, assessments, reports, and services (collectively, the “Service”) operated by Operational CFO (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Operational CFO provides AI-powered financial analysis tools, educational content, assessments, and community resources for business owners and finance professionals. The Service includes:

• Business Health Diagnostic and CFO Readiness Assessment tools
• Integration with QuickBooks Online for financial data analysis
• AI-generated Monthly Pulse Reports and financial insights
• Educational content, frameworks, and career pathways
• Community features and advisory services

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate information, maintain the security of your credentials, and notify us immediately of any unauthorized use. You are responsible for all activity under your account.

3. Subscription and Payments

• Free Tier: Includes limited access to assessments, diagnostic tools, and content at no charge.
• Pro Tier ($149/month): Includes full access to AI tools, Pulse Reports, financial analysis, and community features. Billed monthly via Stripe.
• Advisory Tier: Custom pricing for 1-on-1 strategic advisory. Terms agreed separately.

Subscriptions automatically renew unless cancelled. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

4. QuickBooks Integration

• When you connect QuickBooks Online, you authorize us to access your financial data in read-only mode through Intuit's OAuth protocol.
• We access profit & loss statements, balance sheets, and cash flow reports solely to generate financial analysis and reports for you.
• We cannot and do not create, modify, or delete any data in your QuickBooks account.
• You may disconnect QuickBooks at any time, immediately revoking our access.
• Your use of QuickBooks is also subject to Intuit's Terms of Service.

5. AI-Generated Content Disclaimer

IMPORTANT: The financial analysis, reports, and recommendations provided by our AI tools are for informational purposes only. They do not constitute financial advice, tax advice, legal advice, or any professional advisory service.

• AI-generated reports may contain errors, inaccuracies, or incomplete analysis.
• You should always consult with a qualified CPA, financial advisor, or attorney before making significant financial decisions.
• We are not a registered investment advisor, CPA firm, or law firm.
• Past performance metrics and case studies referenced on the platform describe the founder's personal experience and do not guarantee similar results.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share your account credentials with others
• Attempt to reverse-engineer, scrape, or extract data from the Service
• Upload false or misleading financial data
• Resell, redistribute, or white-label the Service without written permission
• Interfere with or disrupt the Service or its infrastructure

7. Intellectual Property

All content, frameworks, assessments, tools, AI prompts, branding, and software on the Service are owned by Operational CFO and protected by copyright and intellectual property laws. This includes but is not limited to:

• The Five-Command Model framework
• The CFO Readiness Assessment and Business Health Diagnostic
• AI system prompts and workflow architectures
• Course content, playbooks, and educational materials

Your subscription grants you a personal, non-transferable, non-exclusive license to access and use the Service for your own business purposes.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATIONAL CFO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated analysis will be accurate or complete.

11. Indemnification

You agree to indemnify and hold harmless Operational CFO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Wake County, North Carolina.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.
